Pronto is a managing general agency based out of South Texas
that was established in 2005. From its inception, we are committed to providing
a high value insurance product through competitive pricing, superior claims
handling and excellent customer service. Pronto has emerged in the auto
insurance market through its distribution channels of captive agencies,
independent agents, on-line and franchise locations.
We are currently looking for a General Counsel. You will
mitigate vendor, employee, and claims legal risks by actively ensuring
efficient delivery of legal and compliance services in our Brownsville, Texas
corporate office and closely coordinating legal operations with the parent
headquarters Gallagher Legal Department in Illinois.
You will work collaboratively with, and serve as the primary
legal adviser to, all executive and senior management personnel of Pronto on
legal matters for the company. You will provide mentorship and direction
reflecting prudent business judgment, strategic vision and substantive legal
knowledge and expertise. The General Counsel will lead all legal, regulatory and
compliance matters. When specialized expertise required, you will contract with
and lead any outside counsel.
Reporting to the Pronto CEO/President, responsibilities, all
in coordination with Gallagher Legal Department and local executive management,
+ Handle all new andexisting contracts made on behalf of Pronto. Provide advice on the risk ofsuch contracts and negotiate changes as needed.
+ Lead staff that supportemployment related legal activities such as policies, employmentagreements, salary and bonus programs and employment claims andlitigation.
+ Handle legal risks withclaims departments. Primary responsibility for small captive litigationfunction, and advice to larger claims operation. Review correspondencesent, file management, response times and other factors which couldincrease department?s risk. Related reporting to executive management oncompliance, operational and related matters on a weekly, monthly orquarterly basis as directed.
+ Lead the compliancefunction at Pronto, including handling of compliance and ethics issues,policy implementation, training efforts and communications.
+ Excellent workingknowledge of all laws and regulations facing Pronto, including insurancecodes relevant to company operations in Texas, Florida and California,related regulations and bulletins, and any subsequent changes to ensurecompany compliance at all times.
+ Draft, review and maintainrecord of corporate governance documents and agreements, including NDAs,MGA agreements, reinsurance agreements, insurance policies, third partycontracts, and others as required.
+ Handle licensing andintellectual property matters including branding issues.
+ Review company compliancefunctions for insurance entities including reinsurers.
+ Prepare corporate documentsand assist with or lead preparation for company presentations.
+ Support Pronto?s insuranceagency franchise operations.
Lead inside and outside counsel, staff and litigation/non-litigation
+ Law degree from accreditedlaw school and licensed to practice law in the State of Texas (or eligiblefor admission as in-house counsel).
+ Demonstrated ability tofunction as a self-starter and contributor in a dynamic environment.
+ At least 7 years?experience as a practicing attorney
