Corporate Paralegal in Baltimore:
Review and analyze the sufficiency of documentation as it relates to state law or federal tax law requirementsDraft documentation, including resolutions, contracts, commercial agreements, and other legal documents ensuring all steps are completed and deadlines met.Perform due diligence, including UCC searches and good standing certifications.Ensure that financial and capital transactions are carried out properlySafeguard that the company operates within the legal requirements set forth by local, state and federal regulations regarding trade, governance and employee rightsDraft and review all client contracts.Review drafts of all documents for consistent use of defined terms and accuracy of cross-references.Maintain compliance with all company policies and proceduresMaintain compliance with federal, state and local regulations; including registrations, licensing, permits, insurance, etc.Maintain up to date registrations with appropriate federal, state, and local jurisdictionsMaintain and update power of attorney forms, assignment letters, etc.Address and resolve federal and state tax and regulatory noticesWork with third party tax accountants and review filings preparedOversee equity transactionsPerform related duties as assigned by supervisor
